Bylaws of the National Episcopal Church Women

ARTICLE I
NAME

The name of this organization shall be the Episcopal Church Women of The Episcopal Church (“Episcopal Church Women”).

ARTICLE II
PURPOSE

The purpose of this organization shall be to empower the women of The Episcopal Church (“Episcopal Church” or “Church”) to carry on Christ’s work throughout the world.

ARTICLE III
MEMBERSHIP

All women, by virtue of their membership in The Episcopal Church, are members of the Episcopal Church Women.

ARTICLE IV
OVERSIGHT BY THE EPISCOPAL CHURCH

Officers and members of the National Board as well as adoption of amendments to these bylaws are subject to confirmation by the Presiding Bishop or the Executive Council of the Episcopal Church.

ARTICLE V
OFFICERS

Section 1. Designation

The officers shall be President, First Vice-President, Second Vice-President, Secretary, and Treasurer. They shall serve as the Executive Committee of the National Board.

Section 2. Duties

A. The President shall:
1. preside at all meetings and the Triennial Meeting;
2. serve as the denominational representative for the Episcopal Church Women;
3. serve on the Episcopal Church Women/United Thank Offering Joint Committee.

B. The First Vice-President shall be responsible for the coordination of the Triennial Meeting.

C. The Second Vice-President shall be responsible for information and communication and shall serve as Chairman of the Communication Committee.

D. The Secretary shall be responsible for all official records including the minutes of all meetings of the organization.

E. The Treasurer shall be responsible for the financial records of the organization and shall serve as Chairman of the Finance Committee.

Section 3. Term of Office
Officers shall serve for a term of three (3) years or until their successors are elected. Officers’ terms shall begin at the close of the Triennial Meeting at which they are elected.

No person may serve more than two consecutive terms in any office. No person shall serve more than three consecutive terms on the National Board.

Section 4. Vacancies
With the exception of the President, vacancies in all offices elected at the Triennial Meeting shall be filled by the National Board.
In the event of the death or resignation of the President, the Vice-President shall assume that office immediately upon notice of that event. In the event of a disability of the President which would prevent her from fulfilling the duties of that office, she may be removed from office by a majority vote of the remaining members of the National Board.

ARTICLE VI
THE NATIONAL BOARD

Section 1. Composition
A. The five elected officers.
B. One representative from each Province elected by the Province.
C. Two Members-at-Large elected by ballot at the Triennial Meeting.
D. One member from the Executive Council, appointed by the Presiding Bishop.

Section 2. Duties
A. The Board shall carry out the purpose of the organization.
B. The Board shall plan and present the Triennial Meeting.
C. The Board shall be responsible for managing all funds of the organization within guidelines of the Domestic and Foreign Missionary Society. It shall adopt an annual budget(s) and report all income and expenses to the Triennial Meeting.

Section 3. Meetings
The National Board shall meet at least twice during the calendar year with the times and places to be set by the Executive Committee. Members of the Board or any committee thereof may participate in any meeting of the Board or Committee by means of conference telephone or electronic equipment by which all persons participating in the meeting can hear each other. Such participation in a meeting shall constitute presence in person at the meeting.

ARTICLE VII
EXECUTIVE COMMITTEE

Section 1. Composition

The elected officers of the Episcopal Church Women shall constitute the Executive Committee of the Episcopal Church Women.
Section 2. Duties

The Executive Committee shall be authorized to transact business between the meetings of the Board. A written report shall be sent to the full Board within thirty (30) days of any action taken by the Executive Committee.

ARTICLE VIII
ELECTIONS

Section 1. Nominations
There shall be a Nominating Committee which shall consist of one representative from each Province. The names of the members of the Nominating Committee shall be publicized officially at least seven (7) months prior to the Triennial Meeting. The Nominating Committee shall make nominations for all positions set forth in Article VI, Section 1, A and C of these Bylaws. Nominations shall be received by the Nominating Committee no later than five (5) months prior to the Triennial Meeting.

There shall be no nominations from the floor.

Section 2. Eligibility
Each nominee for officer shall have attended at least one Triennial Meeting as delegate or alternate and shall have the recommendation of one of the following: her Bishop, Diocesan President/Chair, Provincial President/Chair, or, if no Diocesan Episcopal Church Women organization exists, an established Episcopal Women’s organization functioning within at least five (5) provinces. Nominees for President and First Vice-President and Second Vice-President shall have served one term on the National Board.

Section 3. Election

Election shall be by ballot at the Triennial Meeting; a majority vote shall elect. In the event that there are three or more nominees for any office and no nominee receives a majority of votes, on each succeeding ballot the name of the nominee
receiving the fewest number of votes shall be removed until one nominee receives a majority vote.

ARTICLE IX
THE TRIENNIAL MEETING

Section 1. Time and Place
The Triennial Meeting shall be held at the same time and place as General Convention.

Section 2. Purpose
The purpose of the Triennial Meeting shall be to provide a forum for education, training and -worship. It shall elect officers and members-at-large and conduct such other business as shall be necessary.

Section 3. Voting Members
Voting members of the Triennial Meeting shall be!
A. Certified delegates from each diocese, not to exceed four;
B. Current Episcopal Church Women National Board members;
C. Province Presidents/Coordinators;
D. Representatives from established Episcopal women’s organizations functioning within at least five (5) provinces, not to exceed two representatives from each organization;
E. The members of the United Thank Offering Committee.

Section 4. Quorum
Delegates representing a majority of the dioceses registered shall constitute a quorum.

ARTICLE X
COMMITTEES

The Finance and Communication Committees and such other committees, as Standing, Special, and Convention together with their chairpersons, shall be appointed by the President, in consultation with the National Board, to carry out the business of the organization. Membership on committees may come from within or outside of the National Board.

ARTICLE XI
PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern in all cases to which they are applicable and in which they are not inconsistent with the Constitution and Canons of the Episcopal Church, these Bylaws, and any special rules of order adopted by this organization.

DISCIPLINARY PROCEDURES
Disciplinary action, including dismissal from Board positions, shall be in accordance with the Constitution and Canons of the Episcopal Church and those provisions in Disciplinary Procedures in Robert’s Rules of Order Newly Revised current edition.

ARTICLE XII
AMENDMENT OF BYLAWS

These Bylaws may be amended by a two-thirds vote of those present and voting at any Triennial Meeting, providing written notice has been given to all delegates at least ninety (90) days prior to the Triennial Meeting. Amendments to these Bylaws are subject to ratification by the Presiding Bishop or the Executive Council of the Episcopal Church.

ARTICULO I
NOMBRE

ARTICULO III
AFILIACIÓN

ARTICULO IV
SUPERVISIÓN DE LA IGLESIA EPISCOPAL

Los funcionarios y miembros de la Junta Nacional, así como la adopción de enmiendas a estos estatutos, están sujetos a la confirmación del Obispo Presidente o del Consejo Ejecutivo de la Iglesia Episcopal.

ARTICULO V
FUNCIONARIOS

Sección 1. Designación
Los funcionarios serán presidente, primer vicepresidente, segundo vicepresidente, secretario y tesorero. Servirán como el Comité Ejecutivo de la Junta Nacional.

Sección 2. Deberes

A. El presidente deberá:
1. presidir todas las reuniones y la reunión trienal;
2. servir como representante denominacional de las Mujeres de la Iglesia Episcopal;
3. Servir en el Comité Conjunto Mujeres de la Iglesia Episcopal / Ofrenda Unida de Gracias.

B. El Primer Vicepresidente será responsable de la coordinación de la Reunión Trienal.

C. El Segundo Vicepresidente será responsable de la información y la comunicación y actuará como Presidente del Comité de Comunicación.

D. El Secretario será responsable de todos los registros oficiales, incluidas las actas de todas las reuniones de la organización.

E. El Tesorero será responsable de mantener los registros financieros de la organización y actuará como Presidente del Comité de Finanzas.

Sección 3. Duración del cargo
Los oficiales servirán por un término de tres (3) años o hasta que sus sucesores sean elegidos. Los mandatos de la Mesa comenzarán al cierre de la Reunión Trienal en la que sean elegidos.

Ninguna persona puede servir más de dos mandatos consecutivos en cualquier cargo. Ninguna persona podrá servir más de tres mandatos consecutivos en la Junta Nacional.

Sección 4. Vacantes
Con la excepción del Presidente, las vacantes en todos los cargos elegidos en la Reunión Trienal serán cubiertas por la Junta Nacional.
En caso de muerte o renuncia del Presidente, el Vicepresidente asumirá ese cargo inmediatamente después de la notificación de ese evento. En caso de una discapacidad de la Presidenta que le impida cumplir con las funciones de ese cargo, podrá ser destituida de su cargo por mayoría de votos de los miembros restantes de la Junta Nacional.

ARTICULO VI
LA JUNTA NACIONAL

Sección 1. Composición
A. Los cinco oficiales electos.
B. Un representante de cada Provincia elegido por la Provincia.
C. Dos miembros en general elegidos por votación en la reunión trienal.
D. Un miembro del Consejo Ejecutivo, designado por el Obispo Presidente.

Sección 2. Deberes
A. La Junta llevará a cabo el propósito de la organización.
B. La Junta planificará y presentará la Reunión Trienal.
C. La Junta será responsable de administrar todos los fondos de la organización dentro de las pautas de la Sociedad Misionera Nacional y Extranjera. Adoptará un presupuesto anual e informará todos los ingresos y gastos a la Reunión Trienal.

Sección 3. Reuniones
La Junta Nacional se reunirá al menos dos veces durante el año calendario con los horarios y lugares que establecerá el Comité Ejecutivo. Los miembros de la Junta o cualquier comité de la misma pueden participar en cualquier reunión de la Junta o Comité por medio de un teléfono de conferencia o equipo electrónico mediante el cual todas las personas que participan en la reunión puedan escucharse entre sí. Tal participación en una reunión constituirá presencia en persona en la reunión.

ARTICULO VII
COMITÉ EJECUTIVO

Sección 1. Composición

Los funcionarios electos de la Iglesia Episcopal de Mujeres constituirán el Comité Ejecutivo de la Iglesia Episcopal de Mujeres.
Sección 2. Deberes

El Comité Ejecutivo estará autorizado para realizar transacciones comerciales entre las reuniones de la Junta. Se enviará un informe escrito a la Junta en pleno dentro de los treinta (30) días posteriores a cualquier acción tomada por el Comité Ejecutivo.

ARTICULO VIII
ELECCIONES

Sección 1. Nominaciones
Habrá un Comité de Nominaciones que estará integrado por un representante de cada Provincia. Los nombres de los miembros del Comité de Nominaciones se darán a conocer oficialmente al menos siete (7) meses antes de la Reunión Trienal. El Comité de Nominaciones hará nominaciones para todos los puestos establecidos en el Artículo VI, Sección 1, A y C de estos Estatutos. Las nominaciones serán recibidas por el Comité de Nominaciones a más tardar cinco (5) meses antes de la Reunión Trienal.

No habrá nominaciones del pleno.

Sección 2. Elegibilidad
Cada nominada para oficial deberá haber asistido al menos a una reunión trienal como delegada o suplente y deberá contar con la recomendación de uno de los siguientes: su obispo, presidente / presidente diocesano, presidente / presidente provincial o, si no existe una organización de Mujeres de la Iglesia Episcopal Diocesana , una organización de Mujeres Episcopales establecida que funciona en al menos cinco (5) provincias. Los nominados para Presidente y Primer Vicepresidente y Segundo Vicepresidente deberán haber servido un término en la Junta Nacional.

Sección 3. Elección

La elección se hará por votación en la Reunión Trienal; una mayoría de votos elegirá. En el caso de que haya tres o más nominados para cualquier cargo y ningún nominado reciba la mayoría de votos, en cada votación subsiguiente el nombre del nominado
que reciba el menor número de votos será eliminado hasta que un nominado reciba una mayoría de votos.

ARTICULO IX.
EL ENCUENTRO TRIENAL

Sección 1. Hora y lugar
La Reunión Trienal se llevará a cabo al mismo tiempo y en el mismo lugar que la Convención General.

Sección 2. Propósito
El propósito de la Reunión Trienal será proporcionar un foro para la educación, la capacitación y el culto. Elegirá funcionarios y miembros en general y llevará a cabo otros asuntos que sean necesarios.

Sección 3. Miembros con derecho a voto
Los miembros con derecho a voto de la Reunión Trienal serán!
A. Delegados certificados de cada diócesis, no más de cuatro;
B. Miembros actuales de la Junta Nacional de Mujeres de la Iglesia Episcopal;
C. Presidentes / Coordinadores de Provincia;
D. Representantes de organizaciones de mujeres episcopales establecidas que funcionen en al menos cinco (5) provincias, sin exceder dos representantes de cada organización;
E. Los miembros del Comité de Ofrenda Unida de Gracias.

Sección 4. Quórum
Los delegados que representen a la mayoría de las diócesis registradas constituirán quórum.

ARTICULO X
COMITE’S

Los Comités de Finanzas y Comunicación y otros comités, como Permanente, Especial y Convención, junto con sus presidentes, serán nombrados por el Presidente, en consulta con la Junta Nacional, para llevar a cabo los negocios de la organización. La membresía en los comités puede provenir de dentro o fuera de la Junta Nacional.

ARTICULO XI
AUTORIDAD PARLAMENTARIA

Las reglas contenidas en la edición actual de Robert’s Rules of Order Newly Revised regirán en todos los casos a los que sean aplicables y en los que no sean incompatibles con la Constitución y los Cánones de la Iglesia Episcopal, estos Estatutos y cualquier regla especial de orden. adoptado por esta organización.

PROCEDIMIENTOS DISCIPLINARIOS
La acción disciplinaria, incluida la destitución de los puestos de la Junta, se realizará de acuerdo con la Constitución y los Cánones de la Iglesia Episcopal y las disposiciones de los Procedimientos disciplinarios en la edición actual de las Reglas de orden recientemente revisadas de Robert.

ARTICULO XII
MODIFICACIÓN DE ESTATUTOS

Estos Estatutos pueden ser enmendados por dos tercios de los votos de los presentes y votantes en cualquier Reunión Trienal, siempre que se haya dado aviso por escrito a todos los delegados al menos noventa (90) días antes de la Reunión Trienal. Las enmiendas a estos Estatutos están sujetas a ratificación por parte del Obispo Presidente o del Consejo Ejecutivo de la Iglesia Episcopal.
